Since 2016, every UK company must maintain a PSC register — a register of People with Significant Control. If you own or control a company, you are probably a PSC.

Who Is a PSC?

Anyone who:

  • Holds more than 25% of shares
  • Holds more than 25% of voting rights
  • Has the right to appoint or remove a majority of the board
  • Has the right to exercise significant influence or control

What You Must File

PSC details must be filed at Companies House as part of your confirmation statement. Changes must be reported within 14 days.

Penalties

Failure to maintain the PSC register is a criminal offence. Directors can be fined or imprisoned. In practice, Companies House will reject your confirmation statement if PSC information is missing or incomplete.
